Provider Agreement
Effective April 26, 2026
This Provider Agreement ("Agreement") is entered into between Seya Inc. ("Seya") and the business or self-employed professional that creates a Provider account on the Seya platform (the "Provider", "you"). It applies in addition to our Terms of Service and Privacy Policy.
1. Independent contractor
You are an independent business. Nothing in this Agreement creates an employment, partnership, joint-venture, or franchise relationship between you and Seya. You are solely responsible for the services you perform, your tools and supplies, your premises, your employees and contractors, your insurance, and your compliance with all applicable laws and regulations.
2. Eligibility & verification
- You must be legally permitted to operate your business and to perform every service you list.
- You must hold and maintain all licences, certifications, and permits required by Québec or municipal law for the services you offer.
- You authorize Seya to verify your identity, business registration, certifications, and insurance, including by contacting issuers and using third-party verification services.
- You must keep your verification documents current. Expired certifications will deactivate the affected services automatically.
3. Listings & pricing
- You set your own services, prices, and durations. Payment, cancellation, and no-show terms are managed by the platform — clients prepay in full at the time of booking.
- Listings must be accurate, current, and not misleading. Photos must be your own work or licensed for your use.
- You agree to honour the price displayed at the time of booking. Off-platform price negotiation on a confirmed booking is not allowed.
4. Bookings & conduct
- You agree to perform each booked service professionally, on time, and as described.
- You will treat every Client with respect and without discrimination on any prohibited ground.
- You will follow applicable hygiene and sanitation standards, especially for treatments involving skin, hair, or nails.
- You will not solicit Clients to book future appointments off-platform to avoid Seya fees.
5. Fees & payouts
- Plan: joining Seya is free — there is no recurring subscription fee. You may build your profile, add services and upload supporting proof at no cost.
- Founding Provider Activation: a one-time activation fee (the amount is shown on the pricing page at the time you submit) is charged when you submit your first service or certification for verification. Payment is required to complete that submission. This fee covers account activation and review. It is non-refundable, including if your service is not approved or you never receive a booking, and it does not guarantee approval, listing, exposure, ranking, or any level of earnings.
- Founding fee credit (earn-back): if you are within the founding cohort (a limited number of providers, as configured by Seya), Seya will waive its commission on your completed bookings until the total commission waived equals the activation fee you paid. This is a credit against Seya’s commission only — not a cash refund. Once the founding cohort is full, providers who activate afterward pay the activation fee without this credit.
- Service commission: Seya retains a commission on each booking (the rate is shown in your dashboard and on each booking). This commission covers payment processing (Stripe) fees and platform costs, so no separate processing fee is charged to you.
- Payouts & hold period: Client payments, less commission and any refunds, are paid out to your connected Stripe account. To cover refund and dispute requests, payouts are subject to a rolling hold period before release — a few days after each appointment, and a longer period for newly activated providers until they build a track record. Seya may adjust the hold period, or hold a specific payout longer, where a booking is under review or dispute.
- Refunds, chargebacks & recovery: if a booking is refunded (by you, by Seya after a dispute, or by a card chargeback), the corresponding transfer and Seya’s commission are reversed, and any Stripe chargeback fee is passed through to you when you are at fault. Seya recovers refunded and disputed amounts first from your held balance and then from your future payouts; you remain responsible for any resulting negative balance, and you authorise Seya to recover it from subsequent bookings or by other lawful means.
6. Cancellations & no-shows
Cancellation and no-show terms are set by the platform under our Refund Policy. Clients prepay in full, so a no-show does not cost you your time. You set one parameter — your late-cancellation cutoff (2–24 hours before the appointment), after which Clients can no longer cancel or reschedule. If you cancel a confirmed booking yourself, the Client receives a full refund, the cancellation is recorded on your account, and the Client may report it for review. Repeated last-minute cancellations may affect your ranking, eligibility for promotions, or your ability to keep using Seya.
7. Disputes
If a Client opens a dispute, you will receive a notification and an opportunity to respond with evidence. Seya will review both sides in good faith and may issue a refund or partial refund. You agree to abide by the dispute decision on the Platform, without prejudice to your other legal remedies.
8. Insurance
We strongly recommend you maintain professional liability insurance appropriate for your services. For some service categories, we require valid insurance on file before you can go live. Seya is not responsible for injuries, damages, or losses arising from services you perform.
9. Reviews
Clients can leave honest reviews after a completed booking. You may respond publicly to a review. You agree not to write fake reviews, solicit reviews in exchange for compensation, or retaliate against Clients who leave honest feedback.
10. Data & privacy
You will only use Client information you receive through Seya to deliver the booked service and to comply with your legal obligations. You will not contact Clients off-platform for marketing without their separate consent. You are jointly responsible with Seya for any Client data you receive, and you agree to handle it in accordance with Québec Law 25 and PIPEDA.
11. Taxes
You are solely responsible for collecting and remitting any sales taxes (GST/QST), income taxes, or other taxes owed in connection with your services. Seya will provide you with a transaction history that you can use for accounting.
12. Suspension & termination
- You may close your Provider account at any time. Any pending bookings must still be honoured or cancelled in line with the Refund Policy.
- Seya may suspend or terminate your account immediately for: serious safety or hygiene concerns, fraud, repeated policy violations, expired insurance or certifications, or repeated negative dispute decisions.
- For less serious issues we’ll send written notice and an opportunity to fix the problem before suspension.
13. Confidentiality
Booking volumes, fee structures negotiated outside the public pricing page, and any non-public information about the Platform are confidential. You agree not to disclose them other than to your professional advisors under confidentiality.
14. Indemnification
You agree to indemnify and hold harmless Seya from any third-party claim arising out of: (a) services you perform; (b) your breach of this Agreement, the Terms, or applicable law; or (c) your interactions with Clients off-platform.
15. Changes
We may update this Agreement, our fees, or our policies. We will notify you in your dashboard and by email at least 14 days before material changes take effect. Continued use of Seya after the effective date means you accept the updated Agreement.
16. Governing law
This Agreement is governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, with exclusive venue in the District of Montréal.
